SUMMARY
TwinSpires.com Players will be able to compete for a $1,000,000 Jackpot while also competing for shares of a $10,000 prize, Kentucky Derby tickets and merchandise in the "Road to the Derby Showdown" contest. The contest begins February 23rd and runs through the Belmont Stakes, Saturday, June 8th, 2013. Players compete in the contest by placing a designated contest wager on the official contest races. For the purposes of contest play, a designated contest wager is defined as a Player’s first $20 Show wager on a single horse or entry on an official contest race. In the event a player's first $20 Show wager is placed on a horse that is scratched, s/he may place another $20 Show wager and it will count in the contest. Refer to the section Official Contest Race Schedule for a list of official contest races.
HOW TO WIN THE $1,000,000 JACKPOT PRIZE
The Road to the Derby Showdown consists of 20 official contest races; 17 Road to the Derby Challenge Series races and the three races that comprise the Triple Crown – the Kentucky Derby, Preakness Stakes and Belmont Stakes. Any player or players who place a winning contest wager on all 20 official contest races is/are eligible to win or share the $1,000,000 Jackpot Prize with all other official winners. For the purposes of contest play, a winning contest wager is defined as a designated contest wager that returns a pari-mutuel payoff of $21 or more.
HOW TO COMPETE FOR $10,000, KENTUCKY DERBY TICKETS AND MERCHANDISE
PREP ROUND PLAY – THE ROAD TO THE DERBY CHAMPIONSHIP SERIES (17 RACES)
Follow the instructions below to participate in the contest. Failure to follow the instructions may result in disqualification from winning a prize:
1) Bet exactly $20 to Show on one horse or entry on any race on the official contest race schedule. For the purposes of contest play, only your first $20 Show wager on an official contest race will count as your official contest wager. Combination Win/Place/Show, Win/Show or Place/Show wagers are not eligible for contest play – no exceptions will be made. For the 9th race of the contest series only (the UAE Derby), $20 Place will be the official contest wager.
Check for scratches: Wagers on scratched horses will not count in the contest. There will be no favorite replacements for scratched horses. In the event a player's first $20 Show wager on a designated contest race is refunded due to a scratch, s/he may place another $20 Show wager in the same race and it will count as his or her official contest wager.
2) For each winning contest wager you place, you will earn one (1) “unvested share” of the $10,000 contest prize. Unvested shares have no cash value unless the Player survives FINAL ROUND PLAY. See below for FINAL ROUND PLAY rules. Play as many prep races as you can to earn multiple shares.
3) Check the “Shareholder Board” to see who has earned the most unvested shares in the contest.
4) At the end of Prep Round Play (Feb. 23 – Apr. 27), the Top 20 unvested shareholders will earn the following prizes: 1st place (a pair of tickets to the 2014 Kentucky Derby); 2nd – 10th place (an official Kentucky Derby Polo Shirt); 11th – 20th place (an official Kentucky Derby Hat).
FINAL ROUND PLAY – THE TRIPLE CROWN (3 RACES)
Players may claim at least three (3) shares of a guaranteed $10,000 prize by placing a winning contest wager on all three Triple Crown races. Like the Prep Round races, each Triple Crown race is also worth one (1) unvested share of the $10,000 prize. If a Player successfully survives the three Triple Crown races, all of the shares s/he has accumulated over the 20-race contest will be fully vested in the $10,000 prize (will have cash value equal to $10,000 divided by the total number of outstanding vested shares).
5) On Kentucky Derby Day – May 4, 2013 – all unvested shareholders must bet $20 to Show on a single horse or entry in the Kentucky Derby. For the purposes of contest play, only your first $20 Show wager on the Kentucky Derby will count as your official contest wager.
6) On Preakness Stakes Day – May 18, 2013 - all unvested shareholders must bet $20 to Show on a single horse or entry in the Preakness Stakes. For the purposes of contest play, only your first $20 Show wager on the Preakness Stakes will count as your official contest wager.
7) On Belmont Stakes Day – June 8, 2013 - all unvested shareholders must bet $20 to Show on a single horse or entry in the Belmont Stakes. For the purposes of contest play, only your first $20 Show wager on the Preakness Stakes will count as your official contest wager.
8) If all three of your Triple Crown contest wagers are winning wagers, all of your accumulated “unvested shares” will become fully vested in the $10,000 Prize.
9) $1,000,000 Jackpot*: In the event any player or players completes the contest with 20 fully vested shares by placing a winning contest wager on all 20 contest races, s/he will be eligible to win or split the $1,000,000 Jackpot Prize with all other winning players.
10) After the Belmont Stakes is declared official, the vested share value will by calculated by dividing $10,000 by all outstanding vested shares. The amount a player wins will equal the vested share value multiplied by how many vested shares he or she has earned. The vested share value will depend largely upon which horse(s) win(s) the Kentucky Derby, Preakness Stakes and Belmont Stakes and how many contest players place winning contest wagers on all three Triple Crown races.
PRIZES
There is a $10,000 guaranteed prize. Each winning contest wager placed on an official prep race and Triple Crown races will earn one “unvested” share in that prize. At the completion of Prep Round Play, each unvested shareholder will be required to place a single contest wager on all three Triple Crown races - the Kentucky Derby, Preakness Stakes and Belmont Stakes - in Final Round Play. If a player’s contest wagers on all three Triple Crown Races are winners, all of his accumulated unvested shares will be “vested” in the prize ($10,000). Players who do not place a winning contest wager on all three Triple Crown races will be eliminated from sharing in the $10,000 prize. The vested share value will be calculated by dividing $10,000 by the total outstanding vested shares earned by all eligible Players. How much a player wins will be determined by the vested share value multiplied by the amount of vested shares he or she has earned at the end of Final Round Play. In the event there is a Jackpot winner or winners, the 20 vested shares for each Jackpot winner will not be included in the calculation of the vested share value. Each player who has earned vested shares will have their share winnings automatically deposited into their TwinSpires wagering account by June 15, 2013. All players are subject to applicable taxes.
Additionally, at the end of Prep Round Play (Feb. 23 – Apr. 27), the Top 20 unvested shareholders will earn the following prizes: 1st place (a pair of tickets to the 2014 Kentucky Derby); 2nd – 10th place (an official Kentucky Derby Polo Shirt); 11th – 20th place (an official Kentucky Derby Hat).

If a tie still remains, the higher position will be awarded to the player who selected the most first place finishers from his or her winning contest wagers. If a tie still remains the higher position will be awarded to the player who selected the most second place finishers from his or her losing contest wagers. If a tie still remains, TwinSpires.com will select an alternative method of breaking the tie.
$1,000,000 Jackpot*: In the event a player accumulates 20 vested shares of the Prize by placing a winning contest wager on all 20 designated contest races, s/he will be eligible to win or split a jackpot prize of $1,000,000 with all other jackpot prize winners, if any.
*$1,000,000 Jackpot prize will be paid in the form of a 40-year annuity or a cash option equivalent.
In the event contest wagering is not available in at least 18 of 20 official contest races, the $1,000,000 Jackpot prize will not be awarded.

SUBSTITUTE RACE(S)
In the event of a race cancellation, the cancellation of Show wagering or the declaration of a “no contest” in any one or two of the 20 races on the official race schedule, TwinSpires.com reserves to right to name a substitute race for the affected race(s). In the event TwinSpires elects to name a substitute race, it will substitute the Kentucky Oaks on May 3, 2013 for the first affected race. In the event TwinSpires elects to name a second substitute race, it will substitute the Peter Pan Stakes at Belmont on May 11, 2013 for the second affected race.
SHAREHOLDER BOARD PRIZES
The Player with the most unvested shares at the completion of Prep Round Play will win two tickets to the 2013 Kentucky Derby.
2nd – 10th Places on the "Shareholder Board" will receive an Official Kentucky Derby Polo Shirt
11th – 20th Places on the "Shareholder Board” will receive an Official Kentucky Derby Hat
If there is a tie in any position on the "Shareholder Board", the order of finish will be determined by the player whose winning contest wagers returned the highest cumulative winnings. If a tie still remains, the higher position will be awarded to the player who selected the most second place finishers from his or her losing contest wagers. If a tie still remains the higher position will be awarded to the player who selected the most third place finishers from his or her losing contest wagers. If a tie still remains, TwinSpires.com will select an alternative method of breaking the tie.
ELIGIBILITY
The TwinSpires Road to the Derby Showdown (the "Contest") is open to TwinSpires.com registered players only; legal residents of the United States who are at least 18 years or older. The following states have higher age requirements: Alabama (min. age 19), Iowa (min. age 21), New Hampshire (min. age 21), Washington (min. age 21). TwinSpires.com is a free service; sign-up opportunities exist via www.twinspires.com or by calling 877-SPIRES-1. Employees of Churchill Downs Incorporated and their respective subsidiaries, affiliates, their contractors, their advertising agencies and racing officials and their immediate families or household members are not eligible to participate.
No person may enter for another person, or in another person's name. Any person, found violating any of these provisions will be disqualified and the entry submitted by said person shall be ruled ineligible for prize awards.
By entering, all participants and/or entrants release Churchill Downs Technology Initiatives Company and its parent company, subsidiaries, and affiliates, and their respective employees, officers, directors, agents and shareholders, from and against all claims and damages arising in connection with each entrant's participation and/or entry in this Promotion and/or their receipt or use of any prize awarded in this Promotion. This promotion is governed by U.S. law and is void where prohibited by law.
METHOD OF ENTRY
The contest is open to all TwinSpires.com customers who have a valid, open TwinSpires.com wagering account. Players with valid TwinSpires.com wagering accounts may automatically enter the contest at any time by placing a winning $20 Show wager on a single horse or entry in any of the Road to the Derby Championship Series prep races as outlined on the official contest race schedule. Players can earn multiple “unvested” shares of the Prize if they place winning wagers on multiple races as defined by the official schedule for the contest.
CONDUCT
Churchill Downs Incorporated and TwinSpires.com each reserves the right, in its sole discretion, to modify, cancel, terminate, and/or suspend the Contest and to disqualify any individual who tampers with the process, violates these official rules, or acts in a disruptive or unsportsmanlike manner. Without limiting the foregoing, Churchill Downs Incorporated and TwinSpires.com may, in its sole discretion, prevent an entrant who has been disqualified, has questionable eligibility, or is otherwise ineligible to receive a prize, from continuing to participate in the Contest.
GENERAL CONDITIONS
TwinSpires' decisions with respect to the potential winner and any other matters pertaining to the Promotion shall be final. The potential Winner may be required to sign an affidavit of eligibility and release of liability and publicity (where permitted), and return same, properly executed, within five (5) days of issuance of prize notification. If TwinSpires is unable to contact the potential winner within five (5) days of the initial attempt to contact, if a potential winner fails to complete and return all requested forms by the specified date or if a potential winner fails to comply with any of the requirements, his/her prize will be forfeited and an alternate prize winner shall be selected. By entering the Promotion, all entrants consent to the use of their name, photograph, likeness, biography, voice and/or video for advertising and promotional purposes, including online announcements, worldwide and without limitation and without additional compensation, except where prohibited by law. The odds of winning depend upon the number of eligible contest entries.
All costs, taxes, fees, and expenses associated with a prize or the acceptance and use of any element of a prize not specifically addressed above are the sole responsibility of the respective winner. All federal, state, and local taxes on prize are winner's responsibility. Prizes may not be transferred or exchanged.
INTERNET/TECHNOLOGY PROBLEMS
If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of TwinSpires, which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this contest, TwinSpires and its affiliates/agents reserve the right, in its sole discretion, to cancel, terminate, modify or suspend the Contest and select winners in a manner, which in the sole judgment of TwinSpires, is fair, appropriate and consistent with these Official Rules. TwinSpires and its affiliates/agents reserve the right to disqualify any individual who violates these Contest Rules or the associated rules sets referenced. Herein, if anyone tampers with the entry process or engages in any conduct detrimental to TwinSpires, the Contest or any other player (in each case as determined at TwinSpires' sole discretion), to lock out any individual whose eligibility is in question, and to cancel, terminate, modify or suspend this Contest at any time. NOTIFICATION
Winners will be notified by e-mail or phone and will be required to sign and return an affidavit of eligibility and acceptance of these Official Rules and a publicity/liability release (unless prohibited by law) within ten (10) days following attempted notification. Any prize returned as undeliverable may result in disqualification and selection of an alternate winner. In the event of a dispute about the identity of any player, entries made online will be declared made by the authorized account holder of the TwinSpires account submitted at time of entry. A potential winner will be required to provide proof that the potential winner is the authorized account holder of the TwinSpires account associated with the winning entry.
